Impac Mortgage Holdings, Inc. Raises $26,250,000 Through Issuance of Trust Preferred Securities

NEWPORT BEACH, Calif., May 23 /PRNewswire-FirstCall/ -- Impac Mortgage Holdings, Inc. ("IMH") (NYSE: IMH), a real estate investment trust ("REIT"), announced today that on May 20, 2005 its newly formed Delaware statutory trust, Impac Capital Trust #3, issued $26,250,000 of trust preferred securities. The trust preferred securities mature on June 30, 2035, but may be redeemed, in whole or in part, at par at any time beginning June 30, 2010 and require quarterly distributions to the holders of the Preferred Securities, initially at a fixed rate of 8.01% per annum for a period of five years, and thereafter at a variable rate, reset quarterly, based on the three-month LIBOR rate plus 3.75% per annum. Distributions are cumulative and will accrue from the date of original issuance but may be deferred for a period of up to four consecutive quarterly interest payment periods beginning May 19, 2006. IMH intends to use the net proceeds received from the issuance for general corporate purposes.

The trust preferred securities have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or applicable state securities laws, and unless so registered, may not be offered or sold in the United States, except pursuant to an applicable exemption from the registration requirements of the Securities Act and applicable state securities law.
