NARRATIVE

 

 

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

During the second quarter of 2004, the Registrant discovered accounting inaccuracies in previously reported financial statements. After consultation with its independent auditors, the Registrant has determined that these inaccuracies require the restatement of its financial statements for the years ended December 31, 2001, 2002 and 2003 and the three months ended March 31, 2003 and 2004. Due to the time and expense of the preparation of these restatements, the Registrant requires additional time to review and complete its Quarterly Report on Form 10-Q. The Registrant will file its Quarterly Report on Form 10-Q as soon as possible, and in any event no later than the fifth calendar day following the prescribed due date for such report.
